These Terms of Use ("Terms of Use") explain the contractual agreement between you, who uses this web site and agrees to these Terms of Use ("you", "your"), and Knoll®, Inc. (D) License to User Content
You acknowledge that you are responsible for any information, profiles, messages, text, files, images, photos, video, music, sounds, or other content or materials (“User Content”) that you submit, upload, post or otherwise provide or make available to Knoll or its vendors. You agree to allow the use of User Content which is on third party companies’ websites, for example Instagram, Twitter, Facebook, Vine, Pinterest and Google+, that are associated with hashtags related to Knoll, including, for example, #myknoll. If your Submission is selected by Knoll to be used, it may be displayed for other users to see, together with your name and associated Instagram, Twitter, Facebook or Vine (if applicable) profile information (such as your handle and profile picture). In doing so you automatically grant Knoll and its subsidiaries and affiliates, the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, publish, reproduce, modify, adapt, edit, translate, create derivative works from, incorporate into other works, distribute, sub-license and otherwise exploit such User Content (in whole or in part) worldwide in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such User Content. Such Submissions may be used on the Knoll Website and/or on other Knoll marketing materials, including emails, social media and store signage. Knoll is under no obligation to display, feature or use any Submission, but may do so at its sole discretion. (E) Moral Rights
If it is determined that you retain moral rights (including rights of attribution or integrity) in the User Content, you hereby declare that (a) you do not require that any personally identifying information be used in connection with the User Content, or any derivative works of or upgrades or updates thereto; (b) you have no objection to the publication, use, modification, deletion and exploitation of the User Content by Knoll or its licensees, successors and assigns; (c) you forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of the User Content; and (d) you forever release Knoll, and its licensees, successors and assigns, from any claims that you could otherwise assert against Knoll by virtue of any such moral rights. (F) User Content
User content submitted by you will be considered non-confidential and Knoll is under no obligation to treat such User Content as proprietary information. Without limiting the foregoing, Knoll reserves the right to use any User Content as it deems appropriate, including, without limitation, deleting, editing, modifying, rejecting, or refusing to post it. Knoll is under no obligation to offer you any payment for User Content that you submit or the opportunity to edit, delete or otherwise modify User Content once it has been submitted to Knoll. Knoll shall have no duty to attribute authorship of User Content to you, and shall not be obligated to enforce any form of attribution by third parties.

11. Product Information, Sales, Availability, Payment And Returns

13. Termination Of Usage

These Terms of Use are in force until terminated by either you or us. You may terminate these Terms of Use solely by discontinuing your use and access to the site. We may terminate these Terms of Use, or suspend your access to all or part of the Knoll Web Site, without notice, for any conduct that we, in our sole discretion, believe is disruptive to the site or is in violation of any applicable law or these Terms of Use. 14. Indemnification

15. Governing Law And Jurisdiction

This site is controlled and operated by us from our offices within the Commonwealth of Pennsylvania, United States of America. Although it may be technically accessed from all 50 states as well as from other countries around the world, you agree that your use of the Knoll Web Site shall be construed to be made from within the Commonwealth of Pennsylvania and you agree that these Terms of Use and your use of the Knoll Web Site shall be governed in all respects by the internal substantive laws of the Commonwealth of Pennsylvania, without regard to conflict of law’s provisions. We specifically disclaim the applicability of the United Nations Convention on the International Sale of Goods and the Uniform Computer Information Transactions Act. If any provision of these Terms of Use is held to be invalid or unenforceable, such provision will be struck and the remaining provisions enforced. Headings are for reference purposes only. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We reserve the right to report any wrongdoing, if we become aware of it, to the applicable government agencies or otherwise.
